In the column we discuss the shareholders liability in case of customer claims towards a PT company. Law number 8 of 1999 on Consumers’ Protection (Consumer Law) regulates customer protection in Indonesia. Law number 40 of 2007 on Limited Liability Company (Company Law) regulates the liability of shareholders.
The Consumer Law regulates that consumers can sue PT companies in case of damage as a result of goods produced by this company. Based on the Company Law shareholders cannot be held personally liable for agreements made by the company. Therefore consumers have no right to direct claims directly to a shareholder.
